David is a seasoned corporate and securities partner with a practice centered on representing small- and mid-capitalization public companies, emerging growth businesses, and institutional investors in complex capital markets and strategic transactions. He regularly serves as outside general counsel to public and private companies, advising boards and management teams on IPOs, direct listings, follow-on and other public offerings, registered and unregistered financings, private placements, and ongoing Securities Act and Exchange Act compliance, including disclosure, governance, and reporting matters.

David has significant experience representing investment banks, placement agents, and financial intermediaries as underwriters in public offerings, providing him with a deep, execution-level understanding of deal structuring, disclosure diligence, liability management, and market dynamics. His ability to advise from both the issuer and underwriter perspectives allows him to anticipate and resolve transaction issues efficiently and pragmatically.

In addition to his capital markets practice, David has substantial experience leading domestic and cross-border mergers and acquisitions, including negotiated acquisitions, divestitures, and strategic combinations involving both public and private companies.
