Motor Vehicle Industry Experience

  • Has counseling automotive original equipment manufacturers on strategic legal issues involved in manufacturing, sale, and distribution of motor vehicle products, including:
    • Framework agreements and dealer network strategies regarding dealerships that are owned by public entities or larger dealer groups
    • Buy-sell agreements and related issues including exercise of right of first refusal
    • Dealer sales and service agreements and amendments thereto, including the rollout of such agreements or amendments nationwide
    • Trademark/branding issues
    • Subscription, rental, and other alternative transportation models
    • Dealer network administration and market representation issues under federal/state franchise and antitrust laws

General Corporate Experience

  • Has counseled buyers and sellers in a variety of industries in business transactions, including stock sales, assets sales, mergers, recapitalizations, and similar transactions
  • Has acted as outside general counsel to companies, including providing legal guidance regarding commercial contracts, customer and vendor relationships, business alliances, joint ventures, and compliance programs
  • Has drafted and negotiated product supply agreements, vendor agreements, service agreements, development agreements
  • Has advised clients on general corporate governance matters, capitalization issues, employment matters, securities law compliance, entity selection, and formation and capital-raising considerations
