Experience

  • Counseling buyers and sellers in business transactions, including stock sales, assets sales, mergers, recapitalizations and similar transactions
  • Advising clients on general corporate governance matters, capitalization issues, employment matters, securities law compliance, entity selection and formation and capital-raising considerations
  • Acting as outside general counsel to companies, including providing legal guidance regarding commercial contracts, customer and vendor relationships, business alliances, joint ventures, and compliance programs
  • Drafting and negotiating product supply agreements, vendor agreements, service agreements, development agreements
  • Counseling automotive manufacturers, distributors, and automobile manufacturer trade associations on corporate matters, including drafting and negotiating agreements with dealers and reviewing and advising with respect to changes in ownership and changes in control in dealers
