  • Experience in originating loans for the commercial mortgage-backed securities market, including retail, office, hospitality, multifamily, and mixed-use properties
  • Experience in representing banks and other financial institutions in connection with asset-backed securitizations, real estate-backed securitizations, leveraged leases, bankruptcy remote transactions, and other financial structures
  • Has advised clients on issues that arise under the Uniform Commercial Code
  • Closed real estate finance transactions nationwide secured by a variety of property types including retail, multifamily, hospitality, office and industrial
  • Originated and handled the sale of mezzanine loans
  • Prepared and negotiated purchase and sale agreements, joint venture agreements, development agreements and leases
  • Acted as loan seller’s counsel in connection with CMBS securitizations
  • Advised and prepared opinion letters in connection with the formation of Delaware alternative entities including limited liability companies, limited partnerships, and business trusts

    Representative Transactions

  • Represented institutional lender in the origination of a $241 million CMBS loan secured by 38 flagged hotels located across the United States
  • Represented real estate fund in the acquisition and financing of a nationwide portfolio of industrial properties with an aggregate value of approximately $1 billion
  • Represented an international real estate fund in the $800 million acquisition of a mixed-use property located in the Southeast
  • Represented a borrower in connection with the $1.1 billion financing of a portfolio of office properties located across the United States
  • Represented a lender in connection with the origination of a $5 million mezzanine loan secured by the membership interests in the owner of a single tenant office building in the Northeast
  • Represented a lender in connection with the origination of a $15 million bridge loan secured by an industrial property located in the Northeast
