Experience

  • Represents solar energy developers as lead and local counsel in the development of utility-scale projects, including site acquisition, title insurance, land use planning, economic incentives, property taxes, project finance, and project disposition.  Recent projects across the Southeastern United States have ranged in size from 1MW to 100 MW
  • Represents developers and investors in real estate tax matters, including property tax appeals, exemptions, credits, economic incentives, and 1031 exchanges.  Recent projects include representing hotel owner/operator in property tax appeal, representing an alternative energy company in negotiation of fee in lieu of tax (FILOT) agreement, counseling a real estate investor regarding assessable transfer of interest (ATI) exemption planning for property taxes, and counseling a real estate developer regarding state abandoned building tax credits
  • Represents entities and individuals in partnership tax planning, including reorganizations, acquisitions, and dispositions.  Recent projects include structuring and negotiating limited liability company (LLC) operating agreements involving real estate development projects, medical practices, and credit facilities involving noncompensatory options  
  • Represents institutional lenders as lead and local lender’s counsel on commercial loan originations, modifications, workouts, foreclosures, and bank-owned (REO) property dispositions.  Recent loan originations include a more than $42 million multi-tenant office building acquisition loan and a $6 million revolving credit facility for a regional homebuilder
  • Represents investment companies as local counsel in multi-family real estate acquisitions and refinances.  Recent transactions include the tandem acquisition of a 320 unit apartment complex and a 350 unit apartment complex with a combined purchase price in excess of $120 million
  • Represents landlords and tenants as lead counsel in commercial leasing, including retail, office, warehouse, and ground leasing.  Recent transactions include representing a tenant in a warehouse lease for a distribution facility of a national retail product manufacturer and representing a landlord in the lease up of a recently redeveloped retail shopping center
  • Represents buyers and sellers as lead counsel in lower middle market private company mergers and acquisitions.  Recent transactions include representing the seller in a stock sale of a specialty component manufacturing company and representing a purchaser in an asset acquisition in connection with a natural resource exporting company
