A Nelson Mullins team is representing DUET Acquisition Corp. (“DUET”) in its definitive business combination agreement with Anteco Systems, S.L. (“AnyTech365”) that will result in AnyTech365 becoming a publicly traded company. Upon closing the transaction – which has a value of $287 million and is expected to happen in the fourth quarter of 2022 – AnyTech365 will be listed under the symbol “ANYT” on NASDAQ. DUET is a blank check company that was formed to acquire one or more businesses and assets, via a merger, capital stock exchange, asset acquisition, stock purchase, and reorganization. DUET was formed to effect a business combination with middle market "enabling technology" businesses or assets with a focus on eCommerce, FinTech, Big Data & Analytics, and Robotic Process Automation.
Tucker is a corporate and securities advisor to growing companies, particularly in the technology and government contracting sectors. He assists his clients with a broad variety of transactional support, including venture capital and private equity transactions, joint ventures, mergers and acquisitions, and public and private securities offerings.
Piel serves as the lead attorney in structuring and executing M&A transactions, including stock and asset deals, closing over 100 transactions ranging in value from under $1 million to $3.5 billion. She serves as outside general counsel to a number of private and public companies, primarily in the technology, professional services, and government contracts sectors and regularly works on recapitalizations, strategic counseling, contract drafting and negotiation, stockholder and member agreements, financing and investment documents, and intellectual property matters.
Marshall concentrates his practice on public and private securities offerings, reporting, and compliance under the 1933 Act and the 1934 Act and general corporate matters, with a specific focus on real estate investment trusts (REITs).
Moreno Pabón advises private companies in the energy, telecommunications, and technology industries. She provides counsel to domestic and international clients on a wide variety of corporate matters, including mergers and acquisitions, financings, strategic investments, and corporate restructuring.
