WASHINGTON, D.C. — Nelson Mullins represented Aesther Healthcare Acquisition Corp. (“Aesther”) in its special purpose acquisition company (SPAC) deal with Ocean Biomedical, Inc. (“Ocean”). The deal has a value of $345 million – assuming no redemptions of current Aesther public stockholders – and is expected to be completed in the fourth quarter of 2022. The combined company will be expected to trade on the NASDAQ under the ticker symbols “OCEA” and “OCEAW” based on common stock and warrants, respectively.
The Nelson Mullins team included partners Andy Tucker and Rita Piel, senior associate Franco Furmanski, and associate Catalina Jimenez, with support from Christopher Hanson, Matthew Zischke, Wells Hall, and Anthony Laurentano.
Aesther is a SPAC formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. Its principals possess public and private market investing experience and operational knowledge to bring value added benefits to Ocean.
Ocean is a biopharma company with an innovative business model that accelerates the development and commercialization of scientifically compelling assets from research universities and medical centers. It deploys the funding and expertise to move new therapeutic candidates efficiently from the laboratory to the clinic, to the world.
Tucker is a corporate and securities advisor to growing companies, particularly in the technology and government contracting sectors. He assists his clients with a broad variety of transactional support, including venture capital and private equity transactions, joint ventures, mergers and acquisitions, and public and private securities offerings.
Piel serves as the lead attorney in structuring and executing M&A transactions, including stock and asset deals, closing over 100 transactions ranging in value from under $1 million to $3.5 billion. She serves as outside general counsel to a number of private and public companies, primarily in the technology, professional services, and government contracts sectors and regularly works on recapitalizations, strategic counseling, contract drafting and negotiation, stockholder and member agreements, financing and investment documents, and intellectual property matters.
Furmanski focuses on representing companies and their principals in connection with a wide range of transactions, primarily merger and acquisition and financing transactions, including project finance, syndicated loans and debt and securities offerings.
Jimenez focuses her practice on commercial real estate and finance law. She represents commercial lenders and real estate developers in a wide range of transactions, including financing and refinancing, acquisitions, development, and leasing transactions.
