Experience

  • Represented Canacol Energy Ltd., the largest independent natural gas producer in Colombia, in a Rule 144A/Regulation S offering of senior unsecured notes with an aggregate principal amount of $500 million and the related tender offer and exchange of the company’s previous $320 million senior unsecured notes.
  • Represented various borrowers in collateralized financing transactions of more than $100 million.
  • Represented operators of infrastructure projects and project sponsors in Central America in transactions involving governments, the World Bank, and multilateral lenders.
  • Represented the acquiror of Telefonica S.A.’s telecommunications business in El Salvador in a transaction valued at $144 million.
  • Represented a leading Latin American media production company in connection with its sale of a 75% equity interest to a publicly traded U.S. media company that targets high growth Spanish–speaking U.S. and Latin American markets with leading broadcast, cable television, and digital content platforms
  • Represented various companies in the fitness industry in sales of equity or assets to private equity investors
  • Represented various medical practices in their sale of equity or assets to private equity investors or larger medical groups
