  • Has advised employers regarding compliance with day to day issues arising under the IRC, ERISA, ACA, COBRA, HIPAA, and state and local law
  • Has drafted stock option, restricted stock, phantom stock, other equity incentive plans
  • Has provided guidance on IRC §§409A and 280G compliance, including drafting non-qualified deferred compensation plan documents and employment and change-in-control agreements, and correcting errors involving these arrangements
  • Has conducted mergers and acquisitions due diligence
  • Has counseled a variety of clients regarding ERISA multiemployer plan withdrawal liability, including controlled group status, exceptions, triggering of partial withdrawal, and withdrawal liability payments
