Motor Vehicle Industry Experience

  • Has advised automotive original equipment manufacturers on strategic legal issues involved in the manufacturing, sale, and distribution of motor vehicle products, including:
    • Long term commercial and procurement agreements with suppliers of in-line and aftermarket accessories.
    • Framework agreements regarding dealerships owned by public entities or larger dealer groups.
    • Strategic issues regarding the sale of electric vehicles and related ancillary products, including the direct sale of electric vehicle chargers and other accessories. 
  • Has advised global automotive suppliers in connection with the sale and distribution of electric vehicle-related equipment, charging infrastructure, and battery electric power systems. 

 

General Corporate Experience

  • Counseled buyers and sellers in various industries in M&A and other complex transactions, including stock sales, assets sales, mergers, recapitalizations, and similar transactions.
  • Drafted and negotiated commercial contracts for companies in various industries, including service agreements, supply and distribution agreements, development agreements, and non-disclosure agreements.
  • Assisted emerging companies with various corporate governance matters, including entity formation, capital raises, securities law compliance, and the negotiation of governing documents including complex operating agreements.
  • Assisted clients with various corporate governance matters, including issues related to capitalization, employment matters, and securities law compliance.
