Healthcare M&A/Transactional

  • Represented numerous healthcare clients in a wide array of healthcare mergers and acquisitions (M&A) and transactional matters, including, ambulatory surgery centers (ASCs), free standing emergency rooms (FSERs), physician practices and clinics, management organizations (MSOs), medical office buildings (MOBs), clinical laboratories, long-term care and senior living/assisted living/skilled nursing centers, dental/dental service organizations (DSOs), veterinary/veterinary service organizations (VSOs) and veterinary management groups (VMGs) and specialty healthcare such as urology, dermatology and ophthalmology.
  • Represented numerous healthcare clients in restructuring and financing, including entity and partnership structuring, buy-ins, buy/sell agreements, practice divestitures and acquisitions, equipment finance, and commercial real estate, finance, and project development.

Mergers & Acquisitions

  • Represented senior living/assisted living asset and management company in its acquisition portfolio assets over $850 million.
  • Represented an oilfield safety and inspection services company in an approximate $17 million sale of equity to a subsidiary of a publicly held UK investment fund.
  • Represented a private oil and gas drilling company in a $580 million asset sale to a publicly held Canadian energy company.
  • Represented a publicly traded energy company in acquiring a refinery and related assets having a transaction of more than $200 million.
  • Represented energy company in its acquisition of terminal assets in a $200 million asset transaction.
  • Represented a public energy company in a $450 million Senior Notes Offering (Rule 144A Debt Offering).
  • Represented a publicly-held company in $250 million acquisition of an operating subsidiary holding Gulf of Mexico shelf assets and operations.
  • Represented a publicly-held energy company regarding numerous sales of subsidiaries and divisions resulting in gross proceeds exceeding $300 million.
  • Represented renewable energy company in $160 million acquisition of wind-turbine farm. 
  • Represented numerous energy/oil & gas joint ventures, master service agreements (MSAs), supply agreements and partnership agreements. 
  • Represented oil & gas/chemical company as outside general counsel and on numerous acquisitions exceeding $200 million. 
  • Represented numerous privately held energy-related buyers and sellers in equity and asset acquisitions, recapitalization transactions, refinancings and purchases and sales of subsidiaries and divisions. 

Commercial Real Estate

  • Represented clients (landlord & tenant representation) over 20 years in commercial transactions, acquisitions, divestitures, real estate joint ventures and partnerships title insurance/policies, endorsements, recording & special projects, 1031 property exchanges, development, sale-leasebacks, commercial, industrial and retail leasing matters.

Banking & Financial Services

  • Routinely serve as Texas special counsel on real estate financing transactions and Texas financing legal opinions.
  • Represented 18 affiliated Texas entities as borrowers and guarantors in a series of loans including a $325 million first mezzanine loan and a $65 million second mezzanine loan.
  • Represented a client in a $55 million senior secured term loan for acquisition of real estate located in San Antonio, Texas.
  • Represented a client in the construction, development, and financing of an approximate 27,000-square-foot ambulatory surgery center (ASC) in the Houston area.
  • Represented a client in the construction, development, and financing of an approximate 29,000-square-foot medical office building (MOB) located in the Houston area.
  • Represented a client in a $450 million mortgage loan for acquisition of real estate in Austin, Texas.
  • Represented a client in a $70 million mortgage loan for assumption of loan of real estate located in Southwest Texas.
  • Represented a client as a borrower and guarantor with respect to a $97 million loan.
