Jaclyn Hall is an experienced litigator who represents clients in a variety of complex commercial disputes before both state and federal court. She focuses her practice on high-stakes contractual disputes, securities actions, M&A litigation, breach of fiduciary duty claims, intellectual property matters, workplace misconduct, bankruptcy litigation, among others. Jaclyn advises clients on crisis management, internal investigations, corporate governance, regulatory compliance, employment, and shareholder activism matters.  She also represents clients in investigations conducted by the Department of Justice, Securities and Exchange Commission, and other state and federal government agencies.

Jaclyn is committed to community service and has an active pro bono practice. She received the Jack Fritts Mission Impact Award (2023) for outstanding legal service to a non-profit that helps survivors of domestic violence with disabilities.

Representative Matters

  • Represented a medical device manufacturer in five-day federal jury trial in the District of Delaware.
  • Represented FTSE 500 corporation in a high-profile contract dispute with its former celebrity spokesperson in New York Supreme Court and ICC Arbitration.
  • Represented the former directors of a SPAC in post-merger investigations and shareholder litigations in Delaware, Arizona, and New York. 
  • Represented a major creditor with claims of over $4 billion in the bankruptcy of Puerto Rico and related adversary proceedings in the District of Puerto Rico.
  • Represented investment firm bringing an action against its former employee for breach of contract and violating non-compete covenants in the Southern District of New York.
  • Represented employees of a major financial institution as pool counsel for internal and SEC investigations regarding the use of personal devices for bank business.
  • Represented activist investor in proxy contest seeking to elect a full slate of directors to the board of a Pennsylvania corporation.
  • Conducted internal workplace investigations for both public and private corporations.
  • Advised corporate clients on Environmental, Social, and Corporate Governance (ESG) due diligence following allegations of workplace misconduct at investment target company.
  • Represented a nonprofit organization responding to a third-party subpoena in the Southern District of New York, pro bono.
