Alexa’s practice is focused on intellectual property transactions that enable clients to protect and commercialize their IP assets and achieve their strategic business objectives. Alexa has extensive experience structuring and negotiating master service agreements, IT consulting and contractor arrangements, SaaS and other cloud-based services agreements, end user license agreements, technology outsourcing and implementation agreements, artificial intelligence and emerging technology arrangements, and confidentiality frameworks. Alexa also regularly advises clients on sponsorship, licensing, and branding-related commercial agreements, as well as joint development agreements, strategic partnerships, and collaborative innovation initiatives.
Her work also includes conducting IP due diligence and providing transactional support in connection with asset purchase and licensing agreements, mergers and acquisitions, and financing transactions, helping clients identify and evaluate IP risks and opportunities in complex deal environments.
In addition to her transactional work, Alexa has also served as a trusted outside advisor on day-to-day technology, infrastructure, and risk management issues—including privacy, data governance, and information security risk allocation and the structuring of internal policies and external-facing materials—effectively serving as outside general counsel on technology and IP-driven initiatives.
As a former law clerk to the Honorable Frank D. Whitney of the Western District of North Carolina, Alexa also assists clients with pre-litigation positioning, cease-and-desist communications, and settlement negotiations, and frequently coordinates with litigation teams to provide unique insight in developing dispute and enforcement strategy.
