He advises founders, investors, boards of directors, and senior executives on day-to-day governance and high-stakes transactions, bringing practical judgment, rigorous execution, and a business-first perspective to each matter. He works with U.S. and non-U.S. clients in the energy, healthcare, manufacturing, national defense, and emerging technology sectors and has substantial experience assisting businesses with establishing and growing their U.S. operations while managing complex regulatory requirements.
Adi maintains a broad corporate practice with particular depth in mergers and acquisitions, venture capital and growth equity financings, joint ventures and strategic alliances, and complex commercial contracting. He regularly counsels on entity formation and restructuring, capitalization and ownership arrangements, corporate governance and fiduciary duties, and executive and equity compensation. He also works closely with tax and regulatory colleagues to structure transactions efficiently, including addressing tax-sensitive rollover equity, earnouts, and pre- and post-closing integration considerations.
