Nelson Mullins Represents Stord in Landmark Transactions

Nelson Mullins is proud to announce that a cross-practice team of attorneys advised Atlanta-based commerce and logistics innovator Stord in securing a trio of transformative transactions for the company.

On May 16, Stord announced it raised $200 million through a combination of a Series E equity financing and the closing of a credit facility. Just days later, on May 19, the company announced its acquisition of Ware2Go, a subsidiary of UPS.

“We’ve worked with Stord since the company was formed, so it’s been a really rewarding experience to see their vision come to life,” said Nelson Mullins corporate group co-chair Doug Spear.

Through this acquisition, Stord will boost its competitive edge, adding 21 new fulfillment centers to its network and end-to-end platform technologies. The combination of these transactions positions the company well in its quest to grow as more brands seek out rapid, affordable shipping, and integrated solutions for customer experience.

“These transactions mark a new chapter for our company and our customers. We are deeply appreciative of the partnership we have with the entire Nelson Mullins team,” said Sean Henry, co-founder and CEO of Stord.

“We’re proud to be part of the explosive growth of this amazing company,” said Paul Rothstein, co-chair of the firm’s Emerging Companies practice group.

The transactions were made possible through the firm’s multi-disciplinary effort.

The acquisition team was led by Spear and Rothstein, with support from partners George Akers (Corporate), Denise Gunter (Antitrust), William Shaheen (Tax), of counsel Frances Ann Criffield (Compensation and Benefits), senior associate Bethany Barclay Adeniyi, and associates Virginia Barnhart and Crosby Becker.

The Series E Financing was led by Rothstein and Akers, supported by Barclay Adeniyi, Barnhart, and Becker.

Rothstein and Bess Brown led the debt financing team with contributions from Barnhart, Barclay Adeniyi, and associate Emily Johnson.
