WASHINGTON, D.C. — Nelson Mullins Riley & Scarborough LLP represented Sparks Energy, Inc. (“Sparks”) its special purpose acquisition company (“SPAC”) merger with 10X Capital Venture Acquisition Corp. III (“10X Capital”). The deal has a value of $475 million and is expected to close later in 2023. The combined company would also trade on the New York Stock Exchange with the ticker “SPKS.”
The Nelson Mullins team includes partners Andy Tucker and Douglas Starcher, and associates Fady Ghaly, Donte Jones, Kathryn Johnson, and Kaylen Loflin. The team was supported by partners Matthew Zischke, Wells Hall, and Tim Wagner.
Sparks supports energy restoration management, both for investor-owned utilities and electric co-ops, with a quality work force to perform storm response and restoration services.
10X Capital invests across the capital structure, with a focus on companies using technology to disrupt major industries, including finance, healthcare, natural resources, transportation, infrastructure, and real estate.
Tucker is a corporate and securities advisor to growing companies, particularly in the technology and government contracting sectors. He assists his clients with a broad variety of transactional support, including venture capital and private equity transactions, joint ventures, mergers and acquisitions, and public and private securities offerings.
Starcher serves as outside general counsel for entrepreneurs and growth companies. He regularly counsels clients as a trusted advisor with regard to organizational structuring, capitalization, contracts, technology licensing, and business strategy.
Ghaly focuses his practice on a variety of corporate transactions. He has represented public and privately held companies in mergers and acquisitions, private equity, corporate entity structuring and restructuring, capital markets transactions, and SEC reporting and compliance matters.
Jones focuses his practice on mergers and acquisitions and general corporate matters. He has experience with middle-market M&A transactions across several industries and experience advising clients with general corporate governance matters including entity formation, business restructuring, and related matters.
Johnson focuses her practice on public and private securities offerings, reporting, and compliance under the 1933 Act and the 1934 Act and general corporate matters.
Loflin focuses her practice on securities and corporate law. She represents both investment banks and issuers in a wide variety of public and private offerings, including initial public offerings, follow-on offerings, Rule 144A offerings of equity or debt, and private placements.
