He focuses on the formation, structuring, and operation of a wide range of private investment vehicles and joins the firm from K&L Gates.

Gibson represents fund sponsors in various alternative investment structures, including private equity, venture capital, real estate, and hedge funds. He advises clients throughout every stage of the fund lifecycle, with experience spanning domestic and cross-border fund formations, joint ventures, co-investment arrangements, and complex governance matters.

Gibson also brings significant regulatory experience, advising investment advisers on registration, exemptions, compliance programs, and SEC examinations. He counsels clients on enforcement risk, governance, and M&A transactions involving advisers and private fund managers and regularly analyzes issuers’ status under the Investment Company Act of 1940.
