Nelson Mullins Riley & Scarborough LLP’s Orlando, Florida and Atlanta, Georgia offices represented Parsec Financial Management, Inc. in its sale to Modera Wealth Management, LLC. The transaction creates one of the largest independent wealth management firms on the east coast, with over $10.5 billion of assets under management and over 180 employees across 14 offices between Massachusetts and Florida. Both firms can trace their roots to the 1980s as they were founded as two of the first fiduciary, fee-only advisory firms in the United States.
The team of Nelson Mullins lawyers that counseled Parsec in the transaction was led by Atlanta partner Phil Cooper, Orlando senior associate Chip Gray, and Orlando associate Amanda Downing. Other members of the Nelson Mullins team included partners Paul Cox, Michelle Johnson, Jim Rollins, Pete Schoemann, Nichole Hayden, Adam Scharff, Carrie Hanger, and Amy Cheng, and senior associate Geoff Faye.
Cooper, Gray, and Downing are all a part of the firm’s Corporate Group, and each advise private clients in a broad range of general corporate transactional matters.

Gray focuses his practice on middle market transactions for both and buy- and sell-side clients across a range of industries.
Downing represents clients in a range of business transactions, including mergers and acquisitions, and also assists clients with their general business and tax planning needs.
