WASHINGTON, D.C. – Nelson Mullins represented Fat Projects Acquisition Corp. (“Fat Projects”), a special purpose acquisition company ("SPAC"), in entering into an agreement to acquire Avanseus Holdings Pte. Ltd. (“Avanseus”) in a De-SPAC transaction. Fat Projects values the combined companies at a pro forma enterprise value of approximately $135.7 million. The deal is subject to approval by Fat Projects’ shareholders and other customary closing conditions. The combined company is expected to continue trading on NASDAQ under a new ticker symbol reflective of Avanseus' name.

Fat Projects is a blank check company formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. While Fat Projects may pursue an initial business combination target in any business or industry, it intends to focus on targets with operations or prospective operations that are technology-led in the areas of supply chain, transportation, logistics, finance, sustainability, and other matters affecting consumption and digital needs in Southeast Asia.

Tucker is a corporate and securities advisor to growing companies, particularly in the technology and government contracting sectors. He assists his clients with a broad variety of transactional support, including venture capital and private equity transactions, joint ventures, mergers and acquisitions, and public and private securities offerings.
Graben represents public and private companies in corporate and securities law matters and complex transactions. He advises clients on a full range of corporate and commercial matters, including company formation and choice of entity, raising angel and venture capital, negotiating complex contracts, director and officer fiduciary duties, going public, and public company strategic transactions.
Furmanski focuses on representing companies and their principals in connection with a wide range of transactions, primarily merger and acquisition and financing transactions, including project finance, syndicated loans and debt and securities offerings.
Moreno Pabón advises private companies in the energy, telecommunications, and technology industries. She provides counsel to domestic and international clients on a wide variety of corporate matters, including mergers and acquisitions, financings, strategic investments, and corporate restructuring.
