Nelson Mullins Advises Sakuu in $600M Deal Paving Way to Go Public

Nelson Mullins is pleased to announce its representation of Sakuu Corporation, a Silicon Valley-based developer of transformative dry-printing technology for battery and energy storage manufacturing, in its definitive business combination agreement with Pyrophyte Acquisition Corp. II (NYSE: PAII). The transaction implies a pre-money equity value of approximately $600 million and is expected to result in Sakuu becoming a publicly traded company listed on the New York Stock Exchange under the ticker symbol SAKU upon closing.

Founded in 2016, Sakuu has pioneered a fully dry manufacturing process for battery and supercapacitor electrodes through its innovative Kavian® platform, which is designed to reduce manufacturing costs, shrink factory footprints, and improve sustainability compared to traditional wet-process battery production. The transaction is expected to support the continued commercialization of the Kavian platform and the company's growth initiatives as demand for advanced energy storage solutions accelerates across a variety of industries, including artificial intelligence infrastructure.

Nelson Mullins served as legal counsel to Sakuu in connection with the transaction.

The Nelson Mullins deal team was led by Mike Bradshaw, Kaylen Loflin, and Kathryn Simons, with support from Joel Hughey, Carter Rummel, Matthew Zischke, and Amanda Wilson.
