  • Projects and Infrastructure Associate, global law firm (2022–2024)

Representative Matters

  • Infrastructure
    • Advised a Midwestern department of transportation on recently enacted legislation authorizing state and local government entities to utilize alternative delivery methods for public projects. Drafted memorandum and governance documents.
    • Represented a Chicago-based engineering company as part of a tri-venture in response to a construction management services procurement for a $3 billion transit authority line extension project. Drafted a joint venture agreement and LLC agreement.
    • Represented one of the world’s leading investors, developers, and managers of public infrastructure development on the first-of-its-kind airport transportation system at Greenville-Spartanburg International Airport. Initial co-drafter of a project agreement, design-build agreement, supply contract, and operations and maintenance contract.
    • Represented a Southern department of transportation on the development of the $1.1 billion interstate river bridge progressive-design build project, the first-of-its-kind transaction undertaken by the state. Advised the public agency on market standard provisions and federal compliance regulations.
    • Represented an American bank holding company in the development of its airport lounge program. Drafted branding agreements for airports in Dallas, Denver, Las Vegas, and Washington D.C.
  • Renewable energy
    • Represented a German multinational investment bank and financial services company on a $125 million securitization warehouse facility financing to an energy-as-a-service provider for expansion of energy savings solutions on its customer contracts. Performed legal due diligence analyzing energy savings contracts.
    • Represented two global financial institutions on $364 million acquisition financing for a leading infrastructure investment firm to acquire an energy company’s commercial distribution business. Performed legal due diligence analyzing power purchase agreements.
  • Regulatory 
    • Advised government convention center authority on authority to grant naming rights, sponsorship rights, and advertising rights.
    • Advised a national home warranty company on Illinois Plumbing Contractor licensing requirements. Drafted memorandum on how company can obtain proper licensure to act in the capacity of a residential plumbing contractor to existing and future clients.
    • Advised various entities on domestic and foreign sovereign immunity considerations, lobbyist regulations, and small minority business contracting compliance.
  • Public finance
    • Counsel to a Midwestern housing development authority on various multi-family and conduit bond offerings for affordable housing development.
  • Fund finance
    • Advised financial institutions, investment funds, and corporate borrowers on secured and unsecured finance transactions.
