Brandon’s practice focuses on estate planning (both domestic and international), asset protection, estate and trust administration, and business planning for affluent individuals and their businesses. He is experienced in preparing the full gamut of estate planning documents for ultra-high net worth individuals, including revocable trusts, wills, spousal lifetime access trusts, life insurance trusts, and grantor retained annuity trusts. Brandon is also experienced in planning for the transfer of business interests from generation to generation while minimizing transfer and income taxes. He is adept at breaking down complex concepts into easily understandable concepts, which enables him to listen to a client’s goals and unique situations while reducing tax exposure and increasing liability protection.  

He has experience advising business entities and owners on Florida law and federal taxation issues through all phases of the business lifecycle. His experience as an estate planning and tax lawyer allows him to advise on these matters with an eye towards succession planning and overall tax reduction.

  • Use of gifting via lifetime exemption to reduce gift, estate, generation skipping transfer, and income tax exposure.
  • Probate and trust administration for estates up to ten figures.
  • Form and advise tax-exempt organizations.
  • Drafted advanced-estate planning documents, including but not limited to: SLATs, ILITs, DAPTs, and GRATs.
  • Gifting of hedge fund and private equity interests.
  • Creation of “complex trusts” to stack QSBS exclusions and save millions in income tax.
  • Represented owners in sale of sale of nine-figure eye care corporation to private equity firm.
  • Represented original investors in joint venture (LLC) in the adult beverage industry with cross-border issues and incentive-based equity vesting provisions.
  • Represented majority owner in sale of minority interest of ten-figure mortgage lender.
  • Represented majority owners in sale of minority interests of closely held internet sales/services LLC.
  • Represented owners of golf equipment corporation in deferred sales arrangement.
  • Drafted business entity documents for syndicated real estate investments, including operating agreements designed to tackle disposition, managerial, and testamentary issues.
  • Regularly form business entities and create governing instruments (operating agreements for LLCs, partnership agreements for partnerships, and shareholders/stockholders agreements for corporations.
  • Regularly draft business entity governing instruments with built-in deal terms.
  • Drafted equity incentive documents, including options and phantom stock plans.
  • Create and advise tax-exempt business entities.
