Representative Matters

  • On behalf of one of the world’s largest wind turbine manufacturer by total installed capacity, negotiated turbine supply (and installation) agreements, service and maintenance agreements, repowering agreements, transportation logistics and brokerage agreements (truck and rail), master services agreements and SaaS agreements surpassing $700 million in combined value.
  • Provide outside counsel services to several mid-size and Fortune 500 companies (including to certain subsidiaries of an engineering and manufacturing multinational conglomerate).  
  • Negotiated direct and indirect procurement agreements (including crane rental and operator agreements, staffing agency agreements, agreements with group purchasing organizations, and equipment and vehicle leases) on behalf of one of the world’s largest wind turbine manufacturers by installed capacity. 
  • Review and negotiate letter of credits and other corporate finance documents required of airliners operating at Orlando International Airport on behalf of the Greater Orlando Aviation Authority (a quasi-government entity of Florida). 
  • Advise businesses on organizational structuring, contracts, technology licensing, lien disputes, general commercial dispute resolution, claims and demands.
  • Represented various sellers, and both strategic and financial buyers, in a variety of complex merger & acquisition transactions across diverse industries surpassing $1 billion dollars in aggregate value, including the following representative matters:
    • One of Florida's largest civil engineering and environmental consulting companies in the strategic acquisition of the assets of a mid-sized civil engineering and environmental consulting firm and the subsequent sale and rollover contribution of its equity to a private equity investor.  
    • A North Carolina corporation in the strategic acquisition of the equity of a leading manufacturer and distributor of fiber optic cables and electrical switches in the Midwest and Southern regions of the United States.  
    • A large Florida healthcare staffing company in the sale and contribution of its equity to a private equity investor.
    • The stockholders of a well-established Midwest company specialized in the manufacturing and distribution of gas meters in the sale and rollover contribution of their equity to a private equity investor. 
    • An online marketing company in the sale of its equity to a strategic buyer.
    • All the Harley Davidson motorcycle dealers in the state of Texas and its owner in the sale of assets to a private equity investor. 
    • A major recreational boat manufacturer and distributor company in the strategic acquisition of manufacturers and distributors of boat engines, wire harnesses, and electrical components used in the manufacturing of boats as part of a vertical integration growth strategy.
    • A private equity investor in the acquisition of the stock of a leading manufacturer of advanced polymer coatings for marine vessels, industrial flooring, and other secondary containments.
    • A business and its owners in the divestiture of the portion of the business devoted to the production of realistic digital and 3D modeling environments and full digital twin models and related applications and subsequent sale of the potion of the business devoted to geospatial mapping, surveying, and construction layout services to a private equity investor. 
    • A national reseller and distributor of signs and office supplies in the strategic acquisition of a regional competitor and the subsequent sale of all its assets to a private equity investor. 
    • A nuclear reactor consultant for government operated nuclear power plants and defense facilities in the sale of its equity to a private equity investor. 
    • A video and audio solutions provider in a series of mergers, an internal reorganization, and the refinancing of credit facilities associated to its launching of an Employee Stock Ownership Plan. 
    • A traffic and mobility consultant firm in the sale and contribution of its equity to a private equity investor as part of a portfolio roll up acquisition. 
    • A warehouse distributor of outdoor lifestyle products in the sale and contribution of its equity to a private equity investor.
