Representative Matters

  • ZeroToOne.AI—Convertible Note financing: Represented ZeroToOne.AI in a $71 million convertible note and warrant financing. D.C.-based ZeroToOne.AI provides predictive AI built to handle the needs of the world’s largest brands.
  • Thicket Ventures—Seed investments: Represented Thicket Ventures as lead investor in the $1.25 million seed preferred round of CurrentClient and the $5.1 million seed preferred round of Bridge. Provo-based CurrentClient provides a modern phone system for the financial services industry, enabling professionals to engage on mobile while remaining compliant. Boston-based Bridge is a fintech startup providing the first AI-native operating system purpose-built for private markets allocators.
  • Cresilon—Convertible Note, Series A, and later financings: Represented Cresilon in $126.6 million of preferred stock, warrant, and convertible note financings, with Paulson Investment Company acting as placement agent, as well as a $6 million venture debt facility. Previously represented Cresilon in $16.9 million of preferred stock and convertible note financings. Brooklyn-based Cresilon provides a safe, effective, and reliable solution to stop bleeding for human and veterinary applications.
  • MinneCo Ventures—Seed investments: Represented MinneCo Ventures as lead investor in the $3.3 million seed preferred round of Jet365, Inc. and the $3.3 million seed preferred round of Shine Technology. Ottawa-based Jet365 offers seamless private jet charters, flexible Jet Card options, and expert aircraft sales and acquisitions. San Diego-based Shine provides a turnkey solution that allows apartment owners to generate new revenue streams, reduce operating expenses, and simplify sustainability reporting.
  • Microshare—Seed, Series A, and later financings: Represented Microshare in a $5 million convertible note financing, an $11 million Series B financing, an $18.1 million Series A financing, a $15 million loan and warrant financing by Avenue Capital Sustainable Solutions Fund, a strategic investment by Semtech Corporation (NASDAQ: SMTC), a seed round led by Kerlink SA (EPA: ALKLA), and a seed round led by Motley Fool Ventures. Microshare’s EverSmart solutions improve safety, performance, and sustainability in commercial and public infrastructure. With major deployments on five continents and dozens of Fortune 500 and FTSE 100 companies, Microshare is a key driver of digital transformation.
  • Safe Health Systems—Seed and note rounds: Represented Safe Health Systems, Inc. in a $6 million seed preferred round led by the Mayo Clinic and $23.6 million in subsequent convertible note financings. Phoenix-based Safe Health empowers healthcare through its Connected Care Diagnostics Platform, operated in collaboration with Mayo Clinic, along with diagnostic testing offerings.
  • RISE Group: Led representation of RISE Group, a Middle East-based sports marketing and commercial consulting firm, as US counsel in sale to Elevate, a US-based sports marketing and advisory firm
  • LaunchTN—SAFE, Convertible Note, Series Seed, and Series A financings: Represented LaunchTN in numerous investments across a wide range of Tennessee-based startups and venture capital funds.
  • Adway—Seed rounds: Represented Adway in $8.3 million of seed preferred financings led by Upfront Ventures. San Diego-based Adway compensates drivers for displaying ads on personal or company vehicles without compromising their appearance. Adway’s geofencing technology enables it to dynamically connect brands with targeted locations and customers.
  • Spacetech Co. Auction: Represented a spacetech company in its auction for over $100 million.
  • Blockchain Security Co.—Series A round: Represented a leading blockchain security company in a complex $150 million international A round, including a Safe conversion and secondary offering led by Commonwealth Asset Management, Pantera Capital and SoftBank Vision Fund.
  • Paragon Space Development Corporation—Acquisition of Final Frontier: Represented Paragon Space Development Corporation, a leading provider of environmental controls for human space programs and other extreme environments, in its acquisition of Final Frontier Design, which develops and manufactures next generation space suits for the space industry.
  • RentRedi—Series A round: Represented RentRedi in a $12 million A round led by K5 Private Investors, L.P., a Manhattan Beach private equity fund with participation from RiverPark Ventures III, L.P. and Tribeca Early Stage Partners, L.P.  NY-based Rentredi provides rental property management software that helps landlords collect rent, screen tenants, manage maintenance.
  • Encell Technology—Series C & Note Rounds, Spin Out of Division, International Commercial Deals: Closed over $63.2 million in convertible note and Series C preferred rounds led by Capricorn Investment Group, the disposition of a software division, and international commercial agreements on behalf of Florida-based Encell, which provides fused iron batteries and microgrid and grid edge energy storage solutions.
  • MedStartr Ventures—Fund formation and investments: Represented MedStartr Ventures in raising two venture funds and assisted these funds in making, monitoring, and disposing of their investments. NY-based MedStartr Ventures invests in early-stage private companies in the healthcare sector selected by a community of healthcare stakeholders (patients, doctors, partners, institutional leaders, and investors) at corporate-sponsored pitch events, on the MedStartr crowdfunding site, and otherwise.
  • SafeKeep, Inc.: Represented SafeKeep, Inc., an insurtech company which provides an enterprise platform that uses AI to speed and improve subrogation management across auto, property, workers’ compensation, and other insurance lines of business, in its sale to CCC Intelligent Solutions, Inc. (CCCS: NYSE), a provider of a SaaS platform for the property/casualty insurance industry.
  • Earnstack: Represented Earnstack in a $3 million Series Seed financing. Earnstack is the operator of a platform to enable users to efficiently manage their decentralized finance portfolios.
  • Airglide: Represented Airglide in a $1.2 million Series Seed financing. Airglide focuses on semi-permanent protection coating that improves the look of the color that is used on caravans, boats, cars, commercial airplanes, trains, solar panels, and wind turbines.
