• Represented Cresilon in $59.7 million of preferred stock and warrant financings with Paulson Investment Company acting as placement agent. Previously closed $40.9 million in preferred stock, convertible note and warrant, and convertible note financings on behalf of Cresilon. Brooklyn-based Cresilon provides a plant-based solution to stop traumatic and surgical bleeds in seconds without the need for manual pressure for human and veterinary applications.
• Represented Microshare in a $11 million Series B financing, a $18.1 million Series A financing, and a $15 million loan & warrant financing by Avenue Capital Sustainable Solutions Fund, a strategic investment by Semtech Corporation (SMTC: NASDAQ). Microshare’s EverSmart solutions improve safety, performance and enhance sustainability in commercial and public infrastructure of all kinds. With major deployments on five continents and dozens of Fortune 500 and FTSE 100 brands, Mircoshare is a key driver of the digital transformation journey.
• Represented LaunchTN in numerous types of investments in scores of Tennessee-located startups and venture capital funds.
• Represented Adway in $7.5 million of seed preferred rounds led by Upfront Ventures. Los Angeles-based Adway pays drivers for displaying ads on the sides of their personal or company vehicles without ruining their appearance. Adway’s geo-fencing technology allows it to dyamically connect brands with specified targeted locations and customers.
• Represented Earnstack in a $3 million Series Seed financing. Earnstack is the operator of a platform to enable users to efficiently manage their decentralized finance portfolios.
• Represented Airglide in a $1.2 million Series Seed financing. Airglide focuses on semi-permanent protection coating that improves the look of the color that is used on caravans, boats, cars, commercial airplanes, trains, solar panels, and wind turbines.
• Represented a leading blockchain security company in a complex $150 million international A round, including a Safe conversion and secondary offering led by Commonwealth Asset Management, Pantera Capital and SoftBank Vision Fund.
• Represented a spacetech company in its auction for over $100 million.
• Represented Safe Health Systems, Inc. in a $6 million seed preferred round led by the Mayo Clinic, and $18.5 million in subsequent convertible note rounds. Los Angeles-based Safe Health empowers healthcare with its Connected Care Diagnostics Platform, operated in collaboration with Mayo Clinic, and diagnostic test offerings.
• Represented Paragon Space Development Corporation, a leading provider of environmental controls for human space programs and other extreme environments, in its acquisition of Final Frontier Design, which develops and manufactures next generation space suits for the space industry.
• Represented RentRedi, which provides an all-inclusive landlord-tenant app with everything you need as a DIY landlord, in a $12 million Series A financing led by K5 Private Investors, L.P., a Manhattan Beach private equity fund with participation from RiverPark Ventures III, L.P. and Tribeca Early Stage partners, L.P.
• Represented SafeKeep, Inc., an insurtech company which provides an enterprise platform that uses AI to speed and improve subrogation management across auto, property, workers’ compensation, and other insurance lines of business, in its sale to CCC Intelligent Solutions, Inc. (CCCS: NYSE), a provider of a SaaS platform for the property/casualty insurance industry.
