Nelson Mullins Riley & Scarborough LLP acted as U.S. legal counsel to Quatá Investimentos in connection with its flip to a Cayman-US structure and formation of a new parent entity, IORQ, a Brazilian fintech infrastructure company focused on modernizing financial services across Latin America co-founded by Patrick Sigrist (co-founder of iFood and Nomad). IORQ was formed to hold ownership in mature operational entities in Brazil, including Quatá Investimentos (the birthplace of QI Tech — Brazil’s most recent unicorn and now one of the leading credit infrastructure companies in the country).
In tandem with the corporate restructuring, Nelson Mullins also advised on the BRL 35 million Series A investment in IORQ. The investment round, led by Upload Ventures and joined by Monashees, ONEVC, and Norte Ventures, will support IORQ’s continued development of scalable infrastructure solutions for digital financial services, including APIs for compliance, payments, and data intelligence.

Quatá Investimentos, is an independent credit asset manager with over BRL 1.8 billion in FIDCs and a brAA rating. With 16 years’ experience, it operates internationally through partnerships such as Pandion Partners for financial advisory and M&A.
Molina has over 20 years of experience working as a corporate finance attorney. He represents start-ups, emerging companies and investors in corporate matters, mergers and acquisitions, and financing rounds in all tech sectors. He also advises foreign clients accessing the U.S. market, as well as to U.S. companies and funds investing in Latin America. He is dual-qualified in the USA and Brazil (New York and São Paulo) and is a Foreign Legal Consultant in Florida.
Lester advises multinational corporations, emerging growth companies, and venture capital investors in a variety of transactions, including private equity, financings, mergers and acquisitions, and general corporate matters. Her practice focuses primarily on cross-border transactions, especially with LatAm entities and investors.
