Nelson Mullins attorneys are representing Kernel Group Holdings in a business combination with AIRO Group Holdings, Inc.
Kernel Group Holdings is a special purpose acquisition company (SPAC) formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, or similar business combination with one or more businesses.
The Nelson Mullins team successfully negotiated the definitive business combination agreement with AIRO Group Holdings, Inc. (AIRO) The merger agreement has been signed by the parties and will close upon satisfaction of customary closing conditions, including SEC approval of the Form S-4 Registration Statement to be filed by the SPAC.
The business combination agreement provides AIRO with a path to becoming a publicly listed company through a new Delaware holding company, AIRO Group, Inc. (“ParentCo”). .
Once the business combination agreement closes, AIRO and Kernel will become completely owned subsidiaries of ParentCo. It is anticipated that ParentCo common stock and warrants will be accessible for trading on Nasdaq using the code names "AIRO" and "AIROW," correspondingly.
