Nelson Mullins Represents Graphjet Technology Sdn. Bhd. in $1.49 Billion deSPAC Merger

A Nelson Mullins team is representing Graphjet Technology Sdn. Bhd. (“Graphjet”) in its definitive business combination agreement with Energem Corp. (“Energem”) that will result in Graphjet becoming a publicly traded company. Upon closing the transaction – which has a value of $1.49 billion and is expected to happen in the second half of 2022 – Graphjet will operate under the name “Graphjet Technologies” and will be listed under the symbol “GTI” on NASDAQ. The Nelson Mullins team was led by partners Andy Tucker and Mike Bryan, and associate Kaylen Loflin, with support from partners Wells Hall, Matt Zischke, and Angela Hart-Edwards.

Graphjet was founded in Malaysia as an innovative graphene and graphite producer. It has the world’s first patent-pending technology to recycle palm kernel shells generated in the production of palm seed oil to produce single layer graphene and artificial graphite. Graphjet’s sustainable production methods utilize palm kernel shells, a waste agricultural product that is common in Malaysia, and will set a new shift in Graphite and Graphene supply chain of the world.

Energem is a blank check company formed for the purposes of effecting a merger, capital share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more energy and/or sustainable natural resource companies. 

Tucker is a corporate and securities advisor to growing companies, particularly in the technology and government contracting sectors. He assists his clients with a broad variety of transactional support, including venture capital and private equity transactions, joint ventures, mergers and acquisitions, and public and private securities offerings.

Bryan focuses his practice on a wide variety of transactions, including acquisitions, divestitures, joint ventures, licensing, and debt and equity offerings. He regularly advises clients on matters related to corporate governance, securities law compliance and reporting requirements, stock exchange rules, executive compensation, boards of directors, and compliance.

Loflin focuses her practice on securities and corporate law. She represents both investment banks and issuers in a wide variety of public and private offerings, including initial public offerings, follow-on offerings, Rule 144A offerings of equity or debt, and private placements.
