A team of Nelson Mullins Riley & Scarborough LLP Financial and Regulatory team attorneys led by Brennan Ryan and John Willis represented Bancorp 34, Inc., and its subsidiary, Bank 34, based in Scottsdale, Arizona in connection with its merger with CBOA Financial, Inc., and its subsidiary, Commerce Bank of Arizona, based in Tucson, Arizona. The rest of the team includes Maurice Holloway, Ben Barnhill, Ann Murray, and Rusty Melges.
This is the third community bank merger transaction in the Southwest and West that the team has worked on in the past two years, and according to Mr. Ryan, “our increased transaction activity in these markets complements the firm’s growing physical presence in the West and Southwest, with offices now in Los Angeles, Dallas, San Diego and Denver.”
The merger will create the second largest community bank headquartered in Arizona. The merger will enable the combined company to better serve the Phoenix MSA, the Tucson MSA as well as existing Bank 34 markets in New Mexico. The merger is subject to customary bank regulatory and shareholder approvals.
