Representative Matters 

  • Legal Advisor to Temple View Capital, LLC: Represented Temple View Capital, a leading provider of private financing to residential real estate investors, in the closing of a $225 million, 18-month term revolving securitization of unrated residential transition loans.
  • Legal Advisor to Southern Cross Group: Represented Southern Cross Group in the sale of S.I.N. Implant System, a leading manufacturer of dental implants in Brazil, to Henry Schein, Inc.
  • Legal Advisor to NXCR Services LLC: Represented NXCR Services as lessee, in connection with the Master Lease Agreement with Westlake Flooring Company, LLC as lessor, to finance the purchase of approximately $22 million of new Tesla vehicles.
  • Legal Advisor to Flixbus: Co-counsel in the legal due diligence for the indirect purchase of the subsidiaries of a major bus line in Mexico, and negotiation of the Mexican portion of the Stock Purchase Agreement.
  • Legal Advisor to Investment Fund: Restructured a private equity fund in Mexico with investors in Canada, the U.S., and Europe to improve tax efficiency and prepare for a new investment round.
  • Legal Advisor to Holding Company of a South American Network and Telecommunications Company: Negotiated Mexican guarantees for a secured loan agreement executed in Colombia for US$44 million.
  • Legal Advisor to Banking Institution: Negotiated, drafted, and formalized documents related to the sale of a distressed commercial, real estate, and credit card portfolio across three subsidiaries for MXN$65 million.
  • Legal Advisor to Major Global Banking Institution (Mexico): Updated and improved corporate governance; provided regulatory advice to the bank in its dealings with the National Banking and Securities Commission; delivered board and committee training on governance obligations.
  • Restructuring of the debt of the State of Veracruz, Mexico: Co-counsel to the Government of the State of Veracruz in restructuring MXN$48 billion of public debt; negotiated ten secured credit agreements with banks and supported the issuance of securities on the Mexican Stock Exchange.
  • Legal Advisor to Mexican Entertainment Company: Negotiated a Stock Purchase Agreement for the largest entertainment company in Mexico, in a proposed transaction with a United States purchaser.
