Jay focuses his practice on commercial real estate, commercial real estate lending, structured finance, and equity investment by traditional and capital market sources.  His equity investor legal representation covers all phases of real estate and finance, including preparation and negotiation of purchase and sale agreements for unimproved and improved real estate, review and preparation of leases, easements, CCRs and property development agreements, issuance of legal opinions (including non-consolidation opinions), loan document review and negotiation and coordination of prepayment, consent, loan assumption and defeasance transactions with client’s lenders and loan servicers.  For lenders, Jay assists with syndicated and single-lender credit facilities, CMBS loans, bridge loans, mezzanine loans and various loan servicing matters, including preparation and negotiation of forbearance agreements, legal structuring of real estate loan workouts and review and preparation of mortgage loan purchase agreements and servicing agreements.

  • Over 30 years of experience representing national, regional, and local owners, tenants, banks, investment funds, and their clients in all aspects of commercial real estate investment, commercial real estate development and leasing, and commercial real estate lending, including mezzanine finance and preferred equity investments.
