Experience

In the healthcare arena, Ms. Malinovsky represents both individual and institutional healthcare providers with organizational and operational issues, mergers and acquisitions, business management and planning, certificates of need and licensure matters, general contract negotiation, and state and federal fraud and abuse issues.  She has a particular focus on hospital and health system sales and acquisitions and hospital/physician practice collaboration relationships including co-management, employment, professional service arrangements, and equity investments.

Recent representative transactions include representation of:

  • Community health system in sale of hospital and nursing homes
  • Health system in purchase of assets and employment of cardiology practice
  • Health system in purchase of assets and professional services arrangement with medical oncology practice
  • Practice in sale of assets and employment by hospital of surgical group; cardiology group; neurology group
  • Practice in sale of assets and professional services arrangement with hospital of medical oncology practice
  • Urgent care center in sale of assets
  • Equity investors in MSO arrangements involving internal medicine and occupational therapists, and dentists and orthodontists
  • Fertility group in equity exchange with national provider

In the commercial lending/real estate finance arena, Ms. Malinovsky represents both borrowers and lending institutions with financing various types of transactions including property acquisitions, working capital lines of credits, syndicated financings and participations. Recent representative transactions include representation of:

  • Commercial lenders in religious, academic institutions, healthcare real estate financings
  • Healthcare providers in ABL financings
