Representative Matters

  • Represented Canacol Energy Ltd., the largest independent natural gas producer in Colombia, in a Rule 144A/Regulation S offering of senior unsecured notes with an aggregate principal amount of $500 million and the related tender offer and exchange of the company’s previous $320 million senior unsecured notes.   
  • Represented an international bank and US based fund in connection with $56MM asset-based financing.
  • Represented an international lending institution in connection with series of asset-based financing transactions totaling over $450MM.
  • Represented Canacol Energy Ltd. in a $46 Million Senior Unsecured Revolving Credit Facility with a syndicate of banks and Credit Suisse, Banco Davivienda and Citigroup as Lead Joint Arrangers and Joint Bookrunners on the RCF.
  • Represented Canacol Energy Ltd. in a $75 Million Senior Unsecured Bridge Term Loan with a syndicate of banks and Credit Suisse, Banco Davivienda, Citigroup, and Itau as Lead Joint Arrangers and Joint Bookrunners.
  • Represented a US developer in connection with the acquisition and development of an LNG terminal.
  • Represented an American private equity sponsor and a South Africa–based borrower in connection with development and project financing of a wind project in South Africa, with a capital cost of more than $50 million.
  • Represented the Administrative Agent and various European banks in the “take–back–the–keys” restructuring of the Pocahontas Parkway toll road in Virginia, which includes the Route 895 Connector and an approximately 1.58 mile, four–lane roadway with direct access to the Richmond International Airport known as the Richmond Airport Connector
  • Represented an affiliate of a Spanish public multinational solar energy company in connection with the multiple solar projects in the US.
  • Represented a solar energy equipment supplier as project counsel and its managing member, in connection with its acquisition of equity in and the development, construction, financing, and operation of a 183-megawatt portfolio of wind farms under long–term power purchase agreements with local power company.
  • Represented a major solar power developer and solar panel manufacturer in connection with the acquisition of an approximately 300 megawatt (AC) solar energy production facility project located in California
  • Represented of U.S. branch of a German wind turbine manufacturer and project developer in connection with the development and sale to an American nuclear electric power generation company as first phase of 300-megawatt wind project in Michigan.
