Baltimore, MD – Nelson Mullins partners Matthew Huddle and Andrew Tucker represented Rally Communitas Corp. (“Rally”) in its agreement to be acquired by Americas Technology Acquisition Corp. (“ATAC”) in a deSPAC transaction valued at $208 million. The combined entity, which will be known as “Rally Mobility Corp.,” is expected to be listed on the New York Stock Exchange under the symbol “RLLY.”
Rally is a technology company engaged in the business of marketplace operation for mass mobility in the United States and globally. It provides a single platform to commercialize idle and highly fragmented regional private bus capacity. Rally empowers consumers and creates demand for fleet owners by aggregating riders seeking to travel between cities and to special event locations, such as sports arenas and rock concerts.
Rally’s marketplace includes 3,000 small businesses, each owning approximately 10 buses. The private bus industry collectively facilitates nearly 600 million annual passenger trips in the U.S. Rally’s technology identifies the availability of these bus operators whose fleets are usually 50 percent utilized.
Huddle focuses his practice on mergers and acquisitions, private equity, venture capital, and corporate governance. His experience includes advising private, public, foreign, and domestic clients in a variety of industries, including technology, life sciences, financial services, investment management, and chemical and products manufacturing from both the company/seller and investor/buyer perspectives.
Tucker is a corporate and securities advisor to growing companies, particularly in the technology and government contracting sectors. He assists his clients with a broad variety of transactional support, including venture capital and private equity transactions, joint ventures, mergers and acquisitions, and public and private securities offerings.
