Nelson Mullins Represents Pono Capital Corp. in the closing of its $600 million de-SPAC Business Combination with AERWINS Technologies Inc.

WASHINGTON, D.C. — Nelson Mullins represented Pono Capital Corporation, a special purpose acquisition company, in connection with its de-SPAC business combination deal with AERWINS Technologies Inc., the developer and manufacturer of flying vehicles, drones, and related technologies in Japan. The company will be traded on the Nasdaq Global Market under the symbol “AWIN” effective Feb. 6, according to the company, and will continue under the name AERWINS Technologies Inc. 

The deal team from Nelson Mullins was led by partners Andy Tucker and Peter Strand, with support from partner Angela Hart-Edwards, paralegal Alex Reilly, and paralegal J.P. Harrison. EF Hutton, a division of Benchmark Investments, LLC, acted as financial advisors to Pono.

AERWINS Technologies is responsible for developing and releasing the air mobility platform, C.O.S.M.O.S. (Centralized Operating System for Managing Open Sky) and XTURISMO Limited Edition Hoverbike. 

Tucker is a corporate and securities advisor to growing companies, particularly in the technology and government contracting sectors. He assists his clients with a broad variety of transactional support, including venture capital and private equity transactions, joint ventures, mergers and acquisitions, and public and private securities offerings.

Strand practices in the area of corporate and securities law. He represents both investment banks and issuers in a wide variety of public and private offerings, including initial public offerings, follow-on offerings, Rule 144A offerings of equity or debt, and Regulation D institutional private offerings.

Hart-Edwards is a corporate and securities attorney to growing companies worldwide who focuses her practice on mergers and acquisitions and securities transactions, including public and private offerings of securities, 1933 Act filings, 1934 Act reporting, corporate governance, SEC compliance, and general corporate matters. Angela also advises Special Purpose Acquisition Companies (SPACs) from formation, through their initial business combination, to post-merger matters and governance.
