Nelson Mullins Represents Global Star Acquisition Inc. in $80 Million IPO

WASHINGTON, D.C. – Nelson Mullins represented Global Star Acquisition Inc. (“Global Star”) in its initial public offering (“IPO”). The IPO has a total value of $80 million as Global Star trades on the Nasdaq Global Market under the symbol “GLSTU.” The shares of Class A common stock, warrants, and rights are expected to be listed on Nasdaq under the symbols “GLST,” “GLSTW,” and “GLSTR,” respectively.

The Nelson Mullins team was led by partners Andy Tucker and Angela Hart-Edwards, and associate Constantine Christakis.

Global Star is a blank check company formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. It pursues initial business combination targets in several businesses and industries, but it focuses its search on FinTech and PropTech businesses that offer technology solutions, software, services, or products to the financial services or real estate industries.

Tucker is a corporate and securities advisor to growing companies, particularly in the technology and government contracting sectors. He assists his clients with a broad variety of transactional support, including venture capital and private equity transactions, joint ventures, mergers and acquisitions, and public and private securities offerings.

Hart-Edwards conducts diligence for corporate and private equity-related mergers and acquisitions and serves as one of the firm's experienced team of attorneys who assists taking private companies public through a merger with special purpose acquisition companies (SPAC and de-SPAC).

Christakis advises both publicly traded and privately held entities in connection with capital raising and acquisition transactions as well as securities compliance matters arising under the federal and state securities laws and related rules and regulations promulgated and enforced by the Securities and Exchange Commission and state securities agencies.
