A Nelson Mullins team is representing Data Knights Acquisition Corp. (“Data Knights”) in its definitive agreement with OneMedNet Corp. (“OneMedNet”) that will result in the two companies merging to become one public company that will be listed on NASDAQ. The Nelson Mullins team was led by Andrew Tucker, Larry Shackelford, and Victoria Moreno Pabón. Data Knights is a blank check company formed for the purposes of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization, or similar business combination with one or more tech or software businesses or entities.
The transaction is expected to close during the second half of 2022, subject to the satisfaction of customary closing conditions.
Tucker is a corporate and securities advisor to growing companies, particularly in the technology and government contracting sectors. He assists his clients with a broad variety of transactional support, including venture capital and private equity transactions, joint ventures, mergers and acquisitions, and public and private securities offerings.
Shackelford is a corporate attorney experienced in advising technology, telecommunications, and financial services companies and community banks. He represents clients with respect to mergers and acquisitions, public and private offerings of securities, reporting obligations, and general corporate law issues.
Pabón advises private companies in the energy, telecommunications, and technology industries. She provides counsel to domestic and international clients on a wide variety of corporate matters, including mergers and acquisitions, financings, strategic investments, and corporate restructuring.
