Nelson Mullins partners Neil Grayson, Wes Scott, and Brittany McIntosh and associate Troy Varrasse represented Amalgamated Financial Corp., the holding company for Amalgamated Bank, in the closing of an $85 million public, underwritten offering of subordinated notes. Nelson Mullins served as legal counsel to the company.
The offering consisted of an $85 million aggregate principal amount of Amalgamated's 3.250% Fixed-to-Floating Rate Subordinated Notes. Amalgamated intends to use the net proceeds from this offering for general corporate purposes, including its pending acquisition of Amalgamated Investments Company, and ongoing working capital needs.
Grayson heads the firm's financial institutions corporate and regulatory practice group, representing primarily financial institutions, FinTech companies, and alternative financial services companies. Neil handles securities offerings, M&A, corporate governance matters, and regulatory matters.
Scott serves as primary outside counsel to public and private companies with respect to their securities offerings, SEC and FDIC reporting requirements, stock exchange listing compliance, M&A, corporate governance, and general corporate matters. He focuses his practice on the financial institutions industry, including banks, bank holding companies, investment banks, and other depositary institutions.
Varrasse focuses his practice on securities, M&A, and corporate governance matters.
