ATLANTA — Nelson Mullins Riley & Scarborough LLP advised the Tarter Family, who sold a majority interest in Tarter Farm and Ranch Equipment to private equity firm Platinum Equity on April 3, 2023.

Nelson Mullins partners Michael E. Rubinger and Adam Scharff, and associate Anish Patel made up the primary deal team of lawyers that counseled the Tarters on the transaction. Rubinger and Patel ran the M&A deal side of the transaction while Scharff handled the real estate aspects of the transaction. Other Nelson Mullins attorneys involved in the transaction include Paul Cox (tax), Matt Zischke (employee benefits), Elizabeth Haskins (environmental) and Michelle Johnson (employment).

The Lenox Group, an Atlanta-based investment bank specializing in M&A advisory and capital raising services for private, middle-market companies, served as financial advisor to Tarter.

Tarter Farm and Ranch Equipment’s operations, which started in 1945 as the Tarter Gate Company, include roughly over a million square feet of production facility real estate in Kentucky and a manufacturing and distribution center located in Corinne, Utah.

Rubinger is a partner in the firm’s Atlanta office. His practice primarily focuses in the areas of mergers & acquisitions, joint venture transactions, and financing transactions.

Patel, who is located at the firm’s Atlanta office as well, is a part of the firm’s merger and acquisitions practice. He also assists in handling general corporate matters as a part of the corporate group at the firm.

Scharff is a partner in the firm’s Baltimore office. He focuses his practice on the acquisition, disposition, and leasing of commercial real estate. He has represented borrowers and lenders in loan financing transactions, including real estate loans, equipment loans, and commercial loans. Additionally, Scharff has represented and advised individuals and businesses with general corporate matters.
