Comment: Tapestry’s low profile in EU should help it avoid hurdles it faces in US

In an article published by MLex, Washington, D.C. partner Andrew Lee comments on Tapestry's potential acquisition of Capri and the considerations for this merger from a legal perspective. Tapestry is a global high-end fashion house, known for their high-end brands Coach, Kate Spade New York, and Stuart Weitzman. Capri is a rivaling global fashion house known for their high-end brands Versace, Jimmy Choo and Michael Kors.
This acquisition is unlikely to face significant obstacles in Europe due to the companies' moderate market positions and the predominance of larger European fashion competitors. However, potential hurdles may arise in the U.S., where the companies hold substantial market shares in the industry, and the deal could be scrutinized for possible anticompetitive impacts. "The merging parties might try to complete the transaction with a divestiture proposal – which is generally disfavored today given the agency’s past experience,” says Lee.
