Nelson Mullins partner Robert Brunson and associate Katie Mellen will present “Chain Wrecks," a webinar for any company buying or selling things in the global supply chain. It provides cautionary tales of what happens when sales do not go as planned. Although buyers and sellers of goods and services seek to profit from each transaction, every sale also brings risks. Who is exposed to losses when things go wrong, such as when a party fails to perform as promised or when a product is defective, must be recalled, or infringes intellection property rights? If the parties do not have a clear, written agreement covering such risks, what terms control? How may parties limit their commercial and litigation risks, while maximizing opportunities for recovery from the defaulting buyer or seller? Using lively and entertaining stories of real-world “chain wrecks” (including tales from the pandemic), the presenters bring to life Article 2 of the Uniform Commercial Code (UCC) and other applicable laws in a way that will engage and inform. Viewers will leave with a new or refreshed understanding of the legal framework governing contract formation, default terms, express and implied warranties, consequences of breach, indemnification, and damages limitations.
