Practising Law Institute Sixth Annual Form 10-K/Proxy Tune-Up

With proxy season coming up, anyone involved in SEC reporting and disclosure will need to know how to incorporate changes required by the SEC’s 2019 Disclosure Modernization and Simplification Final Rule and other changes in the shareholder proposal and proxy processes. Gary Brown, a Nashville partner for Nelson Mullins, will speak at the Practising Law Institute's Sixth Annual Form 10-K and Proxy Tune-Up workshop. 

Topics will include key issues to know about when handling this year's Form 10-K, such as SEC staff focus areas, cybersecurity disclosures, Emerging risks like Brexit and LIBOR, the new shareholder proposal process, and accounting considerations. George M. Wilson of the SEC Institute, a division of PLI, will also speak.

Brown has authored PLI's Securities Law and Practice Deskbook, Master the 8-K, and Master the 10-K and 10-Q. He focuses his practice in the areas of securities compliance and corporate governance, and he served as chief executive officer of a financial services company for more than six years prior to joining the firm.
