International Transactions Team Joins Nelson Mullins in Miami, New York to Bolster Latin American and Emerging Growth/Venture Capital Practices

MIAMI – Nelson Mullins Broad and Cassel announced today that a team of cross-border transactional attorneys from a global U.S. law firm has joined the Miami and New York offices as partners. The team is led by Jackson Hwu, a veteran corporate attorney, and includes seasoned corporate attorneys Leandro Molina and Caio Prado. 

The team is focused on representing Brazilian and Latin American investors and emerging growth companies in corporate structuring, venture capital financing rounds, acquisitions, and exits, as well as family offices, asset managers, and high net worth investors from Brazil and Latin America in the U.S. on corporate, securities, tax, real estate, and estate planning. The team also represents Latin American conglomerates and corporations in a variety of matters related to their operations expansion, organically or through mergers & acquisitions, into the U.S. and Europe.

Hwu has more than 20 years of cross-border transactional experience at global U.S. law firms and in-house legal departments both in the U.S. and in Brazil representing U.S. and international clients in mergers and acquisitions, private equity and venture capital transactions, fund formations, and securities offerings (including digital currency). A native Brazilian, Hwu advises some of the most compelling venture investors, startups, and emerging growth companies from Latin America (including FinTechs, E-commerce, and AI-enabled companies). Hwu advises clients in the formation and dissolution of joint-ventures and partnerships in the U.S., EMEA, and Latin America and advises clients on compliance and litigation matters.

Hwu received his Juris Doctor from Northwestern University Pritzker Law School and joint-degree LL.M./CBA from Northwestern University Pritzker Law School and Kellogg School of Management.  He holds a Bachelor of Laws from the University of Sao Paulo (USP – Largo Sao Francisco School of Law) in Brazil. Molina is a corporate finance attorney with more than 14 years of experience. He provides advice to Brazilian and foreign clients accessing the U.S. market, as well as to U.S. companies and funds investing in Brazil and other Latin American countries. Molina has worked on outbound private equity, structured finance deals, financing, M&As, and joint-ventures for international clients accessing the Brazilian market. He has also worked on investment funds structuring for U.S. and European funds into Brazil, including private equity and venture capital funds. Earlier in his carrier, Molina worked as a corporate associate at Pinheiro Neto Advogados in Sao Paulo, Brazil for more than 10 years.

Molina holds an LL.M. degree with a Business Certificate from the University of California, Berkeley, School of Law. He received his Bachelor of Laws and also holds a Specialization Degree in Corporate Law from the Pontifical Catholic University of Sao Paulo (PUC-SP). Molina is fluent in Portuguese and English. Prado is a corporate and venture capital attorney with more than 10 years of experience. He provides strategic business-oriented advice to high-growth companies and investors as they face legal and business challenges. Prado assists emerging growth companies and family offices in their U.S. legal matters. Prado worked as a capital markets associate at Machado Meyer Advogados in Sao Paulo, Brazil for more than six years.
