  • Advises financial institutions on the resolution of regulatory issues, the preparation and filing of annual and quarterly reports, and other securities law issues

Representative Transactions

  • Represented issuers and investment bankers in over 12 separate financial institution capital transactions (public and private) with total capital raised in excess of $650 million, including experience in failed bank acquisitions and financings
  • Represented bank holding companies as special SEC counsel addressing matters related to financial reporting of failed bank acquisitions and loss share transactions
  • Represented private equity firm in $4 million investment in private label cosmetics firm
  • Represented global chemicals and coatings company in strategic license and credit arrangement with an accident repair center
