In an article published on Sept. 16, 2024, in Daily Business Review, Harsh Arora offered “pro tips” for real estate companies negotiating operating agreements to avoid deadlocks and threats of judicial dissolution in Florida courts.

“If partners do not have clear terms to avoid a deadlock, Florida courts may appoint a receiver or a custodian, or alternatively, order the purchase of the petitioning partner’s interest as an alternative to judicial dissolution,” explained Arora. “Given the state of the commercial real estate market in Florida, it is prudent to have the right strategy with the discussed applicable provisions in governing documents that meet the long-term and short-term objectives of all partners involved.”
