Nelson Mullins Represents Seamless Group Inc. in $400 Million deSPAC Merger

A Nelson Mullins team is representing Seamless Group Inc. (“Seamless”) in its definitive business combination agreement with INFINT Acquisition Corporation (“INFINT”) that will result in Seamless being rebranded as a newly combined company. Upon closing the transaction – which has a value of $400 million and is expected to close in the first quarter of 2023 – Seamless will combine with INFINT and will become a publicly traded entity under a new company name. The Nelson Mullins team was led by partners Andy Tucker and Larry Shackelford, and associates Kacey Heekin-Luchin and Clover Ding, with support from partners Wells Hall and Colleen Pleasant Kline.

Seamless pioneers a global fintech banking platform for e-wallets, financial institutions, and merchants worldwide, delivering frictionless interoperable real-time fund transfers and instant messaging. Its digital ecosystem empowers hundreds of millions of smart consumers and businesses in more than 150 countries.

INFINT is a special purpose acquisition corporation company on a mission to bring the most promising financial technology company from the North America, Asia, Latin America, Europe, and Israel to the U.S. public market. It looks for opportunities in the global fintech space.

Tucker is a corporate and securities advisor to growing companies, particularly in the technology and government contracting sectors. He assists his clients with a broad variety of transactional support, including venture capital and private equity transactions, joint ventures, mergers and acquisitions, and public and private securities offerings.

Shackelford is a corporate attorney experienced in advising technology, telecommunications, and financial services companies and community banks. He represents clients with respect to mergers and acquisitions, public and private offerings of securities, reporting obligations, and general corporate law issues. He has extensive experience in representing public companies in public offerings, mergers and acquisitions, control contests and other securities law matters, and representing private companies in venture capital financings.

Heekin-Luchin focuses her practice on mergers and acquisitions, securities law, and health law.  She represents and advises buy-side and sell-side clients, investment banks, and issuers in connection with a broad range of general corporate transactional matters and public and private offerings, including initial public offerings, follow-on offerings, and private placements.

Ding is a corporate and commercial real estate attorney who focuses her practice on mergers, acquisitions, dispositions, financing, development, and operation. She represents issuers, developers, sponsors, and investors, including REITs, investment funds, and family offices. Her industries of primary focus include finance, multifamily, single-family rental, and student housing.
