Atlanta Team Represents ICE in Bid for NYSE Euronext

Atlanta partners Phil Cooper and Will Gaines along with associate Enan Stillman represented IntercontinentalExchange, Inc., (ICE) of Atlanta in April in connection with its financing for a hostile bid with Nasdaq OMX Group, Inc., for NYSE Euronext, which had agreed six weeks earlier to sell to Deutsche Börse AG in a $10 billion stock deal.

IntercontinentalExchange is a leading operator of regulated futures exchanges and over-the-counter markets for agricultural, credit, currency, emissions, energy, and equity index contracts. Nasdaq teamed with ICE on the complex joint bid that would have given NYSE Euronext shareholders cash and stock in both Nasdaq and ICE. The bid, however, did not receive regulatory approval.
