Nelson Mullins Represents Sole Underwriter FBR Capital Markets Corp. in $1.15 Billion Private Placement Offering
WASHINGTON, D.C. (Nov. 2) - Nelson Mullins announced its Financial Services Group represented FBR Capital Markets Corp. (NASDAQ: FBCM) in its role as financial advisor and sole initial purchaser and placement agent for NBH Holdings Corp. in a $1.15 billion private offering of 57,500,000 shares of common stock.
NBH Holdings, a recently-formed corporation led by veteran banking executives, intends to apply to become a bank holding company and expects to use the proceeds of the offering to build a leading community banking franchise focused on serving the needs of retail and business customers. Wachtell Lipton Rosen & Katz advised NBH Holdings.
The offering was done as a private placement under Rule 144A of the Securities Act of 1933 and other exemptions.
The Nelson Mullins Financial Services Group also recently advised on another large, innovative transaction, representing a management group led by Joe Evans, former CEO of Flag Financial Group in Atlanta. The group raised approximately $300 million in capital to invest in the $35 million-asset State Bank & Trust and then acquired the six Security Banks, which had total assets of approximately $2.8 billion, in an FDIC-assisted transaction. FBR Capital Markets acted as financial advisor to the management team/State Bank & Trust and was the sole placement agent in the transaction.
