  • providing counsel on qualified and non-qualified profit-sharing, pension and other retirements plans and employee benefit tax matters
  • advising on antitrust issues including the implications of mergers and acquisitions (including Hart-Scott-Rodino compliance), exclusionary practices, concerted practices, exclusive contracting and price agreements
  • appealing and litigating tax matters including for-profit and non-profit tax issues, tax exemption issues associated with medical foundations, joint ventures, physician recruitment, IRS letter rulings, income and property taxation and exemptions, as well as tax audits
  • litigating regulatory agency disputes, medical staff privilege disputes, physician contract disputes, third-party payor disputes, management contract disputes, collections, construction contract actions, wrongful termination of employment and malpractice defense
