Steve B. Park is an associate of Nelson Mullins Riley & Scarborough LLP who practices in Atlanta in the areas of finance, corporate and securities law with emphasis on corporate finance and related matters, corporate governance, public and private offerings of securities, compliance with SEC regulations and reporting requirements. 

Mr. Park’s representative experience includes active involvement in the following: 

  • advising lenders and borrowers/issuers on corporate finance transactions, including acquisition financings, syndicated credit facilities, private and public debt offerings (including convertible note offerings), various asset-based financings, reorganizations, workouts, senior, second-lien, mezzanine and subordinated tranches of financings and intercreditor and subordination issues;
  • counseling public and private companies in the areas of corporate and securities law with emphasis on business organization, corporate governance, compliance with the Sarbanes-Oxley Act and related SEC regulations and SEC reporting requirements;
  • representing public and emerging growth companies and underwriters in mergers and acquisitions and in private and public offerings of securities, including Rule 144A offerings and a reverse merger with subsequent PIPE offering;
  • representing a variety of private equity and hedge funds relative to their formation, operations and investments, including Section 13 and Section 16 compliance issues and a recently concluded proxy contest resulting in a settlement agreement and the appointment of two stockholder nominees to the board of directors;
  • counseling Korean companies in the automotive industry and other manufacturing industries in connection with business organization, corporate governance, incentive agreements, and finance transactions; and
  • counseling EB-5 regional center and principals seeking regional center designation in USCIS EB-5 regulations and adjudicatory standards, including related EB-5 financing transactions, and representing individual EB-5 investors. 

Mr. Park is a member of the State Bar of Georgia, the American Bar Association, the Georgia Asian Pacific American Bar Association, the National Asian Pacific American Bar Association, and the International Association of Korean Lawyers.  He is also admitted to practice before the United States District Court for the Northern District of Georgia. 

Prior to joining the Firm, he clerked for the Honorable William T. Boyett, Chief Judge of the Superior Court of the Conasauga Judicial Circuit. 

In 2004, Mr. Park earned a Juris Doctor degree, cum laude, from the University of Illinois College of Law, where he served as an associate editor for the University of Illinois Journal of Law, Technology and Policy and published a note, “Battle of Titans: Intellectual Property Regime v. UCC.” He was the recipient of CALI Excellence for the Future Awards in Administrative Law and International Business Transaction and a recipient of the Rickert Award for Excellence in Legal Publication. Mr. Park earned a Bachelor of Arts degree in Philosophy from Vanderbilt University in 2000.
