Keri Chayavadhanangkur is a partner in the Corporate and Securities Group of Nelson Mullins Riley & Scarborough LLP in Atlanta where she represents clients in connection with mergers and acquisitions, private placement and public offering transactions, public securities reporting activities and other general corporate issues including contested proxy solicitations.

In addition, she has advised financial institutions in connection with bank regulatory matters as well as in structuring and negotiating debt financing facilities for large international corporate and middle market borrowers.

Ms. Chayavadhanangkur’s recent transactions include representation of:

  • Azalea Fund in acquisition of Sunbelt Chemicals and follow-on acquisition of Matschel Corp.
  • DataPath, Inc. in stock purchase of Industrial Logic Corporation
  • First Covenant Bank in its acquisition of nBank, N.A. and nBank Corp.
  • Anodyne Heath Partners in cash and stock acquisition of Piedmont Healthcare Management Group
  • Advectis, Inc. in its merger with a subsidiary of a global leader in office equipment and document-oriented technologies
  • Software-As-A-Service (SAAS) provider in $105 million equity recapitalization with Goldman Sachs
  • Anodyne Health Partners, Inc. in Series B and Series C financing with Frontier Capital and Brook Investment Funds
  • DataPath, Inc. in its $315 million 144A equity offering
  • Friedman, Billings, Ramsey & Co., Inc. in its $400 million 144A equity offering for BancTec, Inc.
  • Global Payments Inc. in its $200 million credit facility with a syndicate of lenders
  • Patriot Capital Funding, Inc. in its purchase of $7.25 million of senior secured subordinated notes from Mac & Massey, LLC and Mac & Massey Holdings, LLC
  • FTRANS Corp. in its $25 million credit facility with Columbus Bank and Trust Company
  • RTP Financial Services, LLC in its Series A financing

Ms. Chayavadhanangkur is a member of the American Bar Association, the Georgia Bar Association, and the Georgia Asian Pacific American Bar Association where she serves on the board of directors.

She earned a Juris Doctor, with honors, from Emory University School of Law in 2002 where she was elected to the Order of the Coif. She earned a Bachelor of Business Administration degree in 1998 from Emory University’s Goizueta Business School.
